Abstract
Corporations, companies, businesses and/or undertakings are often legal persons. As a legal person, those entities form part of the area of law called private law, in many jurisdiction. This Bynkershoek Research Note describes corporations from the perspective of the private law perspective of legal person. It draws the comparison with natural persons, as bearer of rights and obligations and highlights the fact that natural persons should "think", "communicate" and "act" on behalf of the legal person, entering the realm of agency and legal representation. The research note furthermore describes the most popular topics related to corporations as legal person, in the average course on corporate law.
This research note aims to be a building block in an introductory textbook intended to be used in non-national law schools like the International Bachelor of Law Program of The Hague University of Applied Sciences.
Bynkershoek Research Notes are short introductions to topics with the aim to instruct students in law schools, to set the agenda of further research and/or to form building blocks for subsequent publications to be used in legal practice in general.
