초록

본 논문은 기업의 소유구조 특성이 국제인수합병 성과에 미치는 영향에 대해서 실증적으로 분석한 연구이다. 그동안 기업의 소유구조와 기업가치 및 성과와 관련된 연구물들이 국내 상장기업을대상으로 하여 이루어져 왔다. 그러나 국제인수합병이라는 맥락 하에서 한국기업의 소유구조에 대하여 논의한 연구는 부족한 실정이다. 이에 따라 본 연구는 국내 상장기업의 국제인수합병 거래를 대상으로 1999년부터 2013년까지 15 년간의 289개 거래에 대하여 실증적 분석을 수행하였다. 국제인수합병 성과에 대해서는 사건연구방법을 적용하여 누적비정상수익률로 측정하였다. 또한 기업의 소유구조에 대해서는 최고경영자, 국내기업, 국내기관, 해외기업, 해외기관, 정부기관의 지분율로 구분하였다. 마지막으로 이들 각각의 요인들이 국제인수합병 성과에 미치는 영향에 대해서는 다중회귀분석을 실시하였다. 분석결과에 따르면 국내기관의 지분율을 제외하고 최고경영자, 국내기업, 해외기업, 해외기관, 정부기관 지분율 등은 모두 국제인수합병 성과와 부(-)의 관계를 가지는 것으로 나타났다. 이를 통해그동안 대리인 이론에서 파생된 상반된 두 가설인 이해일치 가설과 안주주의 가설 중에서 국내기업의 국제인수합병의 경우 안주주의 가설이 적용될 수 있음을 확인하였다. 본 연구의 시사점은 국내 상장기업의 국제인수합병 성과를 대상으로 기업의 소유주들이 안주주의 가설의 형태를 보여주고 있다는 점을 실증적으로 분석하여 제시하였다는 데서 찾을 수 있다. 이러한 연구결과는 지분율을 증가시키는 것이 반드시 대리인 비용의 발생을 줄이는 것은 아니라는 점을 의미한다. 따라서 국제인수합병을 수행함에 있어서 해당 소유주들의 이해관계를 면밀하게 파악함으로써, 해당 의사결정이 기업가치를 훼손하는 것은 아닌지에 대하여 상호간의 철저한 모니터링이 요구된다고 할 수 있다.
