Articles on National Innovation Systems emphasize thar the innovative capacity of nations depends on their institutions. Especially law and regulation, an ideal-typical institution, influence firms that engage in innovation. In this case, a major function of law and regulation is to reduce such risk and uncertainty. national legal Systems but differ in their capacity to reduce risk and uncertainty. A typology of legal systems is introduced, based on two dimensions: an emphasis on regulation or on litigation; and an active or passive use of these. These two legal systems are compared, which form more or less opposite in the typology. By comparison, the active litigation system like USA legal system seems to be less effective and efficient in reducing uncertainty. But, curiously enough, an institution that is developed in order to reduce uncertainty has itself become a new source of uncertainty. We can understand this paradox if we realize that institutions are expression of cultural value.
