21세기는 신탁의 세기라는 말이 있듯이 신탁제도는 현대에 들어와서 그 중요성과 활용이 나날이 증가하고 있는 것이 세계적 추세이다. 나날이 고도화․전문화되어가는 신탁환경의 변화와 수탁자에게 자기집행의무를 부과하는 취지가 위탁자가 수탁자에 대하여 가지는 신뢰를 바탕으로 수익자에 최선의 이익을 가져다주기 위한 것이라고 할지라도, 이를 완화하는 흐름이 신탁법의 현대화의 상징이라고 할 수 있고. 미국, 일본 등의 경우는 입법을 통해 원칙적으로 제3자에의 위임을 허용하고 있다. 그러나, 우리 신탁법 제37조는 이러한 현실을 반영하지 못하고 자기집행의무를 엄격하게 규정하고 있는 문제점이 있어서 해석론을 통해 신탁사무를 제3자에게 위임할 수 있는 범위의 확대를 꾀하여 보았다.
먼저, 제37조의 타인을 대행자로만 한정하고, 동조 제1항의 대행자 사용요건은 엄격하게 해석하므로, 수탁자가 자유로이 사용할 수 있는 이행보조자의 범위를 확대하였다. 둘째, 신탁사무위임을 받은 대행자는 ‘수탁자와 동일한 책임’을 지게 되는데(동조 제3항), 그 책임에는 수탁자의 의무는 제외되고 제38조, 39조 등의 책임으로 한정한다고 해석함으로써 보다 쉽게 대행자를 사용할 수 있도록 하였다(의무제외설). 셋째, 신탁사무위임시의 수탁자의 책임을 이행보조자 사용시와 대행자 사용시로 나누어서 살펴보았다. 전자는 수탁자가 민법 일반이론에 따른 책임을, 후자는 선임감독책임 뿐만 아니라, 기존의 신탁법상의 의무 또한 계속해서 지게 된다는 것을 살펴보았다. 마지막으로 제37조에 대한 개정안을 제시하여 보았다. 이러한 논의가 현재 진행 중인 신탁법 개정에 작은 도움이 되었으면 한다.

According to this general trend, to delegate trust affairs to a third has been permitted through altering the trust law recently in the U.S.A. and Japan. But, there is an issue, that the existing regulation is not go with this general trend, under the present Trust Act. Although the title of this Act §37 is provided for “a delegation of trust affairs” formally, the meaning of this provision has been interpreted “duty not to delegate” substantially. Therefore, to solve the problem, this paper examined a trustee's power of a delegation and a capacity to extend range of it. First, ‘other person’ under the Trust Act §37 is construed as ‘a agent’, who has only a responsibility for trust affairs to be delegated. So the trustee has no responsibility of the same act §§ 38, 39. But, he must burden, continuously, the duty of the obligation under the same act §§ 28, 30, 31, 33, 34 etc. Otherwise, a trustee always can use a performance assistant freely. And, the requirement of using a agent is examined under the same Act §37. In this case, so does the meaning of a agent's responsibility. Finally, a trustee's responsibility is examined in the case of using ‘a performance assistant’ and ‘a agent’.
