Abstract: The case that Nokia Siemens M＆A Motorola wireless network in-frastructure business is the tragic focus of"specimen"and"Huaweimen"in anti-trust circles.The two sides of"Specimen"and"Sadness"originate in Huawei-Nuoxi-Motorola three M＆A game of appropriability mechanisms effectiveness and M＆A boundary selection in general.Based on case studies,this paper explores the legal mechanism of the effectiveness condition,how to use strategy mecha-nism in the alliance,and how to choose the right boundary of transnational M＆A.The research significance of the paper is the development of M＆A bound-ary selection theory from the appropriability mechanism perspective,and this is a reference and guidance for Chinese enterprises to choose M＆A and Alliance.
